3. Engagement Process and Agreements
3.1 Service Agreements
All services are provided under specific service agreements that include:

3.2 Project Phases

4. Client Responsibilities
4.1 Information and Access
Clients must provide:
- Accurate and complete project requirements
- Timely feedback and approvals
- Access to necessary systems and environments
- Required business information and content
- Designated project contacts and decision-makers
4.2 Compliance and Legal
Clients are responsible for:
- Ensuring compliance with applicable laws and regulations
- Obtaining necessary licenses and permits
- Providing legal authorization for work performed
- Maintaining appropriate insurance coverage
- Protecting confidential and proprietary information
5. Intellectual Property Rights
5.1 Client-Owned Intellectual Property
Upon full payment, clients own:
- Custom-developed software applications
- Source code specific to their project
- Project-specific documentation
- Custom designs and user interfaces
- Data and content provided by the client
5.2 TronixPay-Owned Intellectual Property
TronixPay retains ownership of:
- Proprietary methodologies and processes
- Pre-existing tools and frameworks
- General knowledge and experience
- Third-party libraries and components
- Reusable code components and templates
5.3 Third-Party Components
Projects may incorporate third-party software components subject to their respective licenses. Clients are responsible for compliance with all third-party licensing terms.
6. Payment Terms and Conditions
6.1 Payment Structure
Payment terms are specified in individual service agreements and typically include:
- Fixed-Price Projects: Milestone-based payments
- Time and Materials: Monthly invoicing for hours worked
- Retainer Agreements: Monthly retainer payments
- Hybrid Models: Combination of fixed and variable components
6.2 Invoice and Payment
- Invoices are payable within 30 days of receipt
- Late payments may incur interest charges of 1.5% per month
- All fees are exclusive of applicable taxes
- Currency: UAE Dirhams (AED) unless otherwise specified
- Payment methods: Bank transfer, credit card, or other approved methods
6.3 Expenses
Client responsibility for pre-approved expenses including:
- Third-party software licenses and subscriptions
- Cloud infrastructure and hosting costs
- Travel expenses for on-site work
- Specialized tools and equipment
7. Confidentiality and Non-Disclosure
7.1 Mutual Confidentiality
Both parties agree to maintain the confidentiality of:
- Proprietary business information
- Technical specifications and designs
- Financial information and pricing
- Strategic plans and business operations
- Customer data and personal information
7.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no breach of agreement
- Was known prior to disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
7.3 Data Protection
We comply with applicable data protection regulations including GDPR and UAE data protection laws. Please refer to our Privacy Policy for detailed information about data handling practices.
8. Warranties and Representations
8.1 Service Warranties
TronixPay warrants that:
- Services will be performed with professional skill and care
- Work will conform to agreed specifications and requirements
- We have the necessary expertise and resources to perform the services
- Services will comply with applicable laws and industry standards
8.2 Software Warranties
For custom software development:
- 90-day warranty against defects in materials and workmanship
- Software will perform substantially in accordance with specifications
- Bug fixes and corrections during warranty period
- Warranty excludes issues caused by modifications, misuse, or third-party software
8.3 Disclaimer

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
9.1 Liability Limitations
To the maximum extent permitted by law:
- Total liability shall not exceed the amount paid for the specific service causing the liability
- Liability is limited to direct damages only
- No liability for indirect, consequential, or punitive damages
- No liability for lost profits, data, or business opportunities
9.2 Exceptions
Liability limitations do not apply to:
- Willful misconduct or gross negligence
- Breach of confidentiality obligations
- Intellectual property infringement claims
- Matters that cannot be limited by law
10. Indemnification
10.1 Mutual Indemnification
Each party agrees to indemnify the other against claims arising from:
- Breach of agreement terms
- Negligent acts or omissions
- Violation of third-party rights
- Non-compliance with applicable laws
10.2 Client Indemnification
Client indemnifies TronixPay for claims related to:
- Client-provided content, data, or materials
- Client's use of delivered software or services
- Modifications made by client or third parties
- Client's business operations and regulatory compliance
11. Termination
11.1 Termination for Convenience
Either party may terminate with 30 days written notice. Upon termination:
- Work performed to date will be delivered
- Payment due for completed work
- Return or destruction of confidential information
- Survival of applicable provisions
11.2 Termination for Cause
Either party may terminate immediately for:
- Material breach that remains uncured after 15 days notice
- Insolvency or bankruptcy proceedings
- Violation of confidentiality provisions
- Repeated minor breaches
12. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including:
- Acts of God, natural disasters, and epidemics
- War, terrorism, and civil unrest
- Government actions and regulatory changes
- Internet outages and cyber attacks
- Labor strikes and supplier failures
13. Dispute Resolution
13.1 Negotiation
Parties will first attempt to resolve disputes through good-faith negotiation between senior executives.
13.2 Mediation
If negotiation fails, disputes will be submitted to binding mediation in Dubai, UAE, under Dubai International Arbitration Centre (DIAC) rules.
13.3 Arbitration
Unresolved disputes will be settled by binding arbitration in Dubai, UAE:
- Single arbitrator for claims under $100,000
- Three arbitrators for larger claims
- Arbitration conducted in English
- Expedited procedures where appropriate
14. Governing Law and Jurisdiction
These Terms are governed by:
- Primary Law: Laws of the United Arab Emirates
- Jurisdiction: Dubai courts for non-arbitrable matters
- Language: English for all legal proceedings
- International Law: UN Convention on Contracts for International Sale of Goods excluded
15. General Provisions
15.1 Entire Agreement
These Terms, together with individual service agreements, constitute the entire agreement and supersede all prior negotiations and agreements.
15.2 Modifications
Terms may only be modified in writing signed by authorized representatives of both parties. Website terms may be updated with notice.
15.3 Severability
If any provision is deemed unenforceable, the remainder of the Terms will remain in full force and effect.
15.4 Assignment
Rights and obligations may not be assigned without written consent, except to affiliates or in connection with a merger or acquisition.
15.5 Notices
All notices must be in writing and delivered to:
- Email addresses specified in service agreements
- Registered business addresses
- Certified mail or courier service
